Omnie Terms of Service

1. Overview
These Terms of Service (“Terms”) govern the use of services provided by omnie (“omnie”, “we”, “us”, or “our”).
By engaging omnie’s services, you (“Client”) agree to these Terms.
2. Services
omnie provides outsourced customer support services, including but not limited to:
- Live chat support
- Email support
- Phone support
- Customer service operations
Services are delivered by omnie personnel operating within Client-provided systems and tools.
3. Client Responsibilities
Clients agree to:
- Provide access to necessary systems (e.g., Zendesk, Gorgias, Shopify)
- Ensure all systems used comply with applicable laws and regulations
- Maintain responsibility for customer data, including collection, storage, and retention
- Provide accurate instructions and guidance for service delivery
4. Data and Privacy
omnie acts as a service provider (processor) on behalf of Clients.
- omnie does not independently store or control customer data
- All customer data resides within Client-managed or third-party systems
- omnie accesses data solely to provide services
Clients remain responsible for:
- Data protection compliance
- Privacy disclosures
- Data retention policies
5. Confidentiality
Both parties agree to maintain confidentiality of all non-public information exchanged.
omnie personnel are bound by confidentiality obligations and internal security policies.
6. Information Security
omnie implements reasonable administrative and technical safeguards, including:
- Role-based access controls
- Use of approved systems only
- Internal security policies and procedures
Security of infrastructure and data storage is managed by Client systems and third-party providers.
7. Service Availability
omnie operates a distributed workforce and aims to provide continuous service.
However, omnie is not responsible for:
- Downtime or outages in Client systems
- Third-party platform failures
- External service disruptions
8. Limitation of Liability
To the maximum extent permitted by law:
- omnie is not liable for indirect, incidental, or consequential damages
- omnie’s liability is limited to the fees paid for services during the applicable period
9. Termination
Either party may terminate services in accordance with agreed terms.
Upon termination:
- omnie will cease access to Client systems
- All access will be revoked promptly
- Confidentiality obligations continue
10. Compliance with Laws
Both parties agree to comply with applicable laws and regulations, including data protection requirements.
11. Modifications
omnie may update these Terms from time to time. Updated Terms will be made available to Clients.
